How It Works

Here is the math that most angel investors never run until it is too late: you invested $100K in Acme Payments at the Seed round.

$15M post-money valuation. You own 0.67% on a basic basis. But there is a 15% option pool , so on a fully diluted basis, your 0.67% is actually 0.57%.

Now the Series A is coming , $8.5M raise at $30M post-money. Your AI agent reads the Carta cap table: your current shares, all share classes (common, preferred A, SAFEs, option pool), and the fully diluted share count.

Then it models the Series A in Google Sheets: new shares issued = $8.5M / Series A price per share.

Post-Series A fully diluted count = pre-money shares + new shares + option pool refresh (if any). Your post-Series A ownership: 0.57% 0.29%.

That is a 49% dilution. If you exercise your pro rata right ($48.5K for your 0.29% share of the round), you maintain 0.57%.

If you do not, you drop to 0.29%. The agent then models Scenarios B and C: what if the Series B is $25M at $95M post? What if there is a $50M Series C at $250M post? After 3 rounds without pro rata, your 0.57% becomes 0.14%.

The dollar value might still be higher , 0.14% of $250M is $350K on your $100K investment. But the ownership percentage matters for governance, information rights, and future anti-dilution protection.
